General terms of use and sale

AAIS – www.aais-media.fr · Updated: 9 October 2026

Article 1 – Scope and acceptance

1.1 These general terms and conditions of sale (“GTC”) govern the sale of printing media (magnetic and ferrous elastomers, photoluminescent and retro-reflective media, on rolls or cut to shape) and the cutting, template-making and engraving services offered by AAIS, a cooperative and participative company (SCOP) in the form of an SAS with variable capital, whose registered office is at 9 avenue des Buissières, 38360 Sassenage, France, registered with the Grenoble Trade and Companies Register under number 340 223 890 (“AAIS”).

1.2 They apply exclusively to business customers, i.e. persons acting for the purposes of their commercial, industrial, craft, professional or agricultural activity (“the Customer”). The www.aais-media.fr site is not intended for consumers. By placing an order, the Customer declares that they are acting for professional purposes.

1.3 Placing an order, or signing a quote, implies full and unreserved acceptance of these GTC, unless a prior written derogation has been signed by AAIS. Any contrary condition put forward by the Customer, in particular in its general terms of purchase, is unenforceable against AAIS unless expressly accepted in writing.

Article 2 – Quote and order

2.1 Sales are concluded on the basis of a quote issued by AAIS at the Customer's request. The site does not allow online ordering. The information published on the site (specifications, prices, lead times) is indicative and does not constitute a contractual offer.

2.2 The quote is valid for 30 days from its date of issue, unless otherwise stated. The order becomes firm when the Customer returns the dated and signed quote, or confirms its order in writing with reference to the quote, and AAIS has accepted it.

2.3 No minimum order quantity is required. All orders are subject to product availability. For products in stock, AAIS informs the Customer as soon as possible of any unavailability.

2.4 Any change or cancellation of an order is subject to AAIS's written agreement. An order for made-to-measure products (see Article 5) can no longer be cancelled once production has started; items already produced remain payable.

Article 3 – Prices

3.1 Prices are exclusive of tax (excl. VAT), ex-works from our premises in Sassenage. Applicable VAT is added, unless exempt (see Article 13).

3.2 Prices are tiered according to the quantities ordered, according to the scale in force on the date of the quote. Prices may be revised according to changes in the cost of their constituent elements, in compliance with the legislation in force; the applicable price is the one stated on the accepted quote.

3.3 Transport and packaging costs are invoiced in addition and shown on the quote. Shipping is free from €350 excl. VAT of order value for deliveries in mainland France, excluding Corsica. This free-shipping threshold does not apply to deliveries to Corsica, overseas territories or abroad.

3.4 The special terms granted to resellers and key accounts are set out in Article 14.

Article 4 – Samples

4.1 AAIS offers free shipping of samples of its media. The Customer chooses the samples wanted, in number and references, via the sample request form, subject to availability.

4.2 Samples are supplied for testing purposes. It is the Customer's responsibility to check, before any order, the compatibility of the media with its machines, inks, converting processes and intended use. Providing a sample carries no guarantee of fitness for a particular use and does not commit the Customer to any order.

4.3 Samples are not taken back. Shipping is free: no shipping costs are charged to the Customer.

Article 5 – Made-to-measure manufacturing: cutting, templates, engraving, Customer files

5.1 Products cut to shape, templates, engravings and, more generally, all products made to the Customer's specifications or clearly customised (“made-to-measure products”) are produced according to the file or drawing supplied by the Customer, whatever the material, whether supplied by AAIS or by the Customer.

5.2 The Customer is responsible for the accuracy, completeness and legibility of its files (accepted formats: vector PDF, DXF, DWG, AI, SVG). AAIS cannot be held liable for an error in the file approved by the Customer. AAIS may propose feasibility adjustments; production starts only after approval by the Customer. Unless otherwise specified in writing, the cutting tolerance is ± 0.1 mm.

5.3 Where the Customer supplies the material to be cut or engraved, it guarantees its conformity, cleanliness and suitability for the requested service. AAIS is not liable for pre-existing defects in the supplied material, nor for its breakage or alteration during cutting where these result from its nature.

5.4 The Customer warrants that it holds the necessary rights to the content and files it sends (intellectual property, trademark rights, image rights). It indemnifies AAIS against any third-party claim in this respect. AAIS uses the Customer's files only to prepare the quote and carry out the order. It does not reuse them and does not disclose them to any third party, other than technical providers needed to host them. Files are kept for one (1) year, then deleted.

5.5 Made-to-measure products are neither taken back nor exchanged, except for proven defects (Articles 8 and 9).

Article 6 – Delivery and lead times

6.1 Delivery times are indicative and run from confirmation of the order and, for made-to-measure products, from the Customer's approval of the file. A delay cannot give rise to cancellation of the order, a price reduction or damages.

6.2 AAIS delivers throughout Europe from its stock in Sassenage. Delivery terms and lead times specific to the destination are stated on the quote.

6.3 The Customer checks the quantity and condition of the products on delivery.

Article 7 – Transport and transfer of risk

7.1 Goods travel at the Customer's risk from the moment they leave our premises, even in the case of carriage-paid shipment or shipment arranged by AAIS on behalf of the Customer. Unless otherwise stated on the quote, sales are concluded FCA Sassenage (Incoterms® ICC 2020); where shipping is free, they are concluded CPT place of delivery, without this changing the transfer of risk, which takes place when the goods are handed over to the carrier.

7.2 In the event of damage, loss or shortage, the Customer must state reasoned reservations on the carrier's delivery note on receipt, and confirm them by registered letter sent to the carrier within three (3) days, excluding public holidays, with a copy to AAIS (Article L. 133-3 of the French Commercial Code). No claim may be made for a parcel that has been refused or accepted without reservation.

Article 8 – Claims, defective products and delivery errors

8.1 Any claim relating to an apparent defect or a delivery error must be sent in writing to AAIS (contact@aais.fr) within eight (8) days of receipt, with the necessary supporting documents (photographs, order or delivery note number).

8.2 After verification by AAIS, and if the claim is acknowledged as justified, a return slip paid for by AAIS is sent to the Customer, and AAIS, at its choice, exchanges or refunds the product concerned.

8.3 No return is accepted without AAIS's prior written agreement.

Article 9 – Warranty and limitation of liability

9.1 AAIS's warranty obligation is limited exclusively to the free replacement or refund of goods acknowledged as defective by AAIS, to the exclusion of any other damages, interest, loss of operation, loss of revenue or indirect loss.

9.2 The warranty does not cover defects resulting from storage, handling, processing or use that does not comply with AAIS's recommendations or with good practice, nor normal wear of the products.

9.3 In all cases, and except in the event of gross negligence or wilful misconduct by AAIS, AAIS's liability is limited to the amount, excluding tax, of the order concerned.

Article 10 – Compliance and use of products

10.1 The Customer is solely responsible for the choice of products, their processing (printing, lamination, application) and the use made of them. It is the Customer's responsibility to check that the products suit its project and, where applicable, to ensure that the finished product complies with the applicable regulations.

10.2 In particular, for photoluminescent and retro-reflective media used in safety signage or signalling, the stated performance is that of the media alone. The compliance of signage or signalling depends on the finished product and its installation: it is the responsibility of whoever makes and installs the finished product.

10.3 The characteristics stated in the technical data sheets and on the site (colour, dimensions, thickness, performance) are indicative; manufacturing tolerances specific to each media are possible.

Article 11 – Payment and late payment

11.1 Payment of invoices is due on the date shown on them. No deposit is required. For a first order, payment is due on ordering. For subsequent orders, and unless otherwise specifically agreed or AAIS refuses on the basis of the Customer's financial situation, payment must be made within a maximum of thirty (30) days from the invoice issue date. No discount is granted for early payment, unless otherwise stated.

11.2 In the event of late payment, late-payment penalties apply automatically, without prior formal notice, at an annual rate of three (3) times the legal interest rate or, failing that, the European Central Bank refinancing rate plus ten (10) percentage points, together with a fixed recovery-cost allowance of forty (40) euros (Article L. 441-10 of the French Commercial Code). Where the recovery costs actually incurred exceed this amount, AAIS may claim additional compensation on production of supporting documents.

11.3 In the event of non-payment, AAIS may suspend all deliveries and demand immediate payment of all sums due. Electronic invoicing is provided via the Pennylane solution.

Article 12 – Retention of title

AAIS retains ownership of the goods sold until full payment of the price, principal and ancillary amounts. Failure to pay on the due date entitles AAIS to repossess the goods. The transfer of risk to the buyer takes place on delivery, in accordance with Article 7.

Article 13 – Intra-Community and export sales

13.1 Sales to a business established in another Member State of the European Union are invoiced without French VAT, provided that the Customer supplies a valid intra-Community VAT number and that the legal conditions for exemption are met. AAIS checks this number before invoicing.

13.2 For deliveries outside the European Union, customs duties, taxes and import formalities are at the Customer's expense, unless the quote states otherwise.

Article 14 – Resellers, white label and key accounts

Resellers and key accounts may benefit from special terms, including a discount on catalogue prices according to their annual volumes and the supply of white-label products. These terms are the subject of a separate written agreement, which prevails over these GTC in the event of conflict. To benefit from them, the Customer may contact AAIS via the site's partner area.

Article 15 – Force majeure

AAIS is not liable for any failure to perform its obligations resulting from force majeure within the meaning of Article 1218 of the French Civil Code, including supply disruptions by its suppliers beyond its control, strikes, and transport breakdowns or interruptions. Obligations are then suspended for the duration of the event; if it exceeds sixty (60) days, either party may terminate the order concerned in writing.

Article 16 – Personal data

AAIS processes the Customer's personal data under the conditions described in its Privacy Policy. The Customer has the right of access, rectification, erasure, restriction, portability and objection, exercisable by email at contact@aais.fr.

Article 17 – Governing law, language and disputes

17.1 These GTC and the sales they govern are subject to French law.

17.2 In the event of a dispute or disagreement relating to the interpretation or performance of these GTC, and failing an amicable solution, the Commercial Court of Grenoble has sole jurisdiction, even in the case of multiple defendants or third-party proceedings (Article 48 of the French Code of Civil Procedure).

17.3 The GTC are written in French. Any translation is provided for information only and only the French version is authoritative.
